Acceptance of Terms

By creating an account, accessing or using our services, or using our API, you agree to comply with and be bound by these Terms of Service and our Privacy Policy. If you do not agree with any part of these terms, you must not use our services. Your continued use of The Board signifies your acceptance of these terms.

We reserve the right to modify these terms at any time. We will notify you of any changes by posting the new terms on our website. It is your responsibility to review these terms periodically. Continued use of the service after any changes means you accept the new terms.

Age Requirements and Authority

You must be at least 18 years old to use The Board. If you are under 18 but at least 13 years old, you may only use our services with the consent and supervision of a parent or legal guardian who agrees to be bound by these terms.

If you are using The Board on behalf of an organization or company, you represent and warrant that you have the authority to bind that organization to these terms and that your organization agrees to be bound by these terms.

What is The Board?

The Board is a plan management and execution system designed to help AI agents stay on track with complex, multi-step tasks. Our service enables you to create, manage, and monitor step-by-step plans that guide AI agents through sophisticated workflows, ensuring they complete tasks efficiently and accurately. Whether you're orchestrating development projects, managing business processes, or coordinating complex operations, The Board provides the structure and oversight needed to keep AI agents focused and productive.

Service Components

The Board consists of several key components that work together to provide you with a comprehensive plan management experience:

  • Web Application: A dashboard where you can create, view, edit, and manage your plans and monitor their execution status.
  • API for AI Agents: A secure interface that allows your AI agents to submit plans, receive step-by-step instructions, and update progress.
  • User Account System: Secure account management that keeps your plans and data private and associated with your account.

Service Availability

The Board is provided on an "as-is" and "as-available" basis. We do not guarantee that the service will be uninterrupted, timely, secure, or error-free. While we strive to maintain reliable service, we make no warranties regarding uptime, performance, or the absence of defects. You understand and agree that your use of The Board is at your own risk.

We reserve the right to temporarily suspend or restrict access to The Board for maintenance, updates, or other operational reasons. We will make reasonable efforts to provide advance notice of planned maintenance when possible, but we are not obligated to do so.

Service Modifications

We reserve the right to modify, update, enhance, or discontinue any aspect of The Board, including features, functionality, or entire service components, at any time and at our sole discretion. We will make reasonable efforts to provide advance notice of significant changes that may affect your use of the service, but we are not obligated to do so.

While we strive to maintain service continuity and will consider user feedback when making changes, we cannot guarantee that any particular feature or functionality will remain available indefinitely. These modification rights allow us to improve the service, address security concerns, and adapt to changing technological requirements.

Account Security Responsibilities

You are fully responsible for maintaining the security of your account credentials, including your password and any API keys generated for your external AI agents. You must keep these credentials confidential and not share them with unauthorized parties. We recommend using a strong, unique password and enabling two-factor authentication where available.

If you suspect any unauthorized access to your account or compromise of your credentials, you must immediately notify us at support@mcpboard.dev and change your password. You are liable for all activities that occur under your account, whether authorized by you or not, until you report the compromise to us.

API keys provide access to your account and plans through external AI agents. Treat these keys with the same security as your password. If an API key is compromised, revoke it immediately through your account dashboard and generate a new one if needed.

Information Accuracy Requirements

You must provide accurate, complete, and current information when registering for The Board and when updating your account details. This includes personal information such as your name and email address, as well as any business or organizational information if you are using The Board on behalf of a company.

You are responsible for keeping your account information up to date. If your information changes, you must update it promptly through your account settings. Providing false, misleading, or outdated information may result in account suspension or termination, and may affect our ability to provide support or process billing.

Accurate information is essential for account verification, billing, customer support, and legal compliance. We may request additional verification of your information at any time to ensure the integrity of our service.

One Account Policy

Each individual user or organization should maintain only one account with The Board. This policy ensures fair resource allocation and prevents abuse of our service offerings, particularly free tier benefits. Creating multiple accounts to circumvent plan limitations, billing, or other restrictions is prohibited and may result in account suspension or termination.

We recognize that legitimate use cases may require separate accounts, such as maintaining distinct personal and business accounts, or when an individual works for multiple organizations that each need their own account. If you believe you need multiple accounts for legitimate purposes, please contact us at support@mcpboard.dev to discuss your situation.

We reserve the right to merge or suspend accounts that appear to be duplicates or created to circumvent our policies. We will make reasonable efforts to contact you before taking such action when possible.

Account Suspension and Termination

We reserve the right to suspend, restrict, or terminate your account at any time if you violate these Terms of Service, engage in abusive behavior, or use The Board in ways that harm our service or other users. When possible, we will provide advance notice and an opportunity to resolve the issue before taking action.

Immediate termination without notice may occur for serious violations including but not limited to: illegal activities, security breaches, attempts to disrupt our service, harassment of other users, or violations that pose immediate risk to The Board or its users. For less severe violations, we will typically provide a warning and opportunity to correct the behavior.

If your account is suspended or terminated, you may appeal the decision by contacting us at support@mcpboard.dev with a detailed explanation of your circumstances. We will review appeals in good faith, though our decision on account status remains final. During suspension or after termination, you may not create new accounts without our permission.

Account Deletion and Data Retention

Your plan data is automatically deleted based on your subscription level: Free plan data is deleted after 24 hours, and Pro plan data is deleted after 30 days. This automatic deletion cannot be reversed, so please ensure you have backed up any important information before these periods expire.

You may request deletion of your account at any time by contacting us at support@mcpboard.dev. Upon account deletion, we will remove your personal information and plan data, subject to the retention periods described above and any legal or business requirements.

We may retain certain information for legal, regulatory, or business purposes, including billing records, support communications, and information necessary to prevent fraud or abuse. This retained information is kept for the minimum period required by law or business necessity, typically no longer than 7 years. We will not use retained information for marketing or service provision after account deletion.

API Key Security and Management

You are fully responsible for securing your API keys and keeping them confidential. API keys provide access to your account and plans, allowing external AI agents to interact with The Board on your behalf. Treat your API keys with the same level of security as your account password.

You must not share your API keys with unauthorized parties or embed them in publicly accessible code repositories, client-side applications, or other insecure locations. If you suspect an API key has been compromised, immediately revoke it through your account dashboard and generate a new one.

Liability for API Key Usage

You are liable for all actions taken using your API keys, whether authorized by you or not. This includes any plans created, modified, or accessed by AI agents using your API keys. You are responsible for ensuring that any AI agents or applications using your API keys comply with these Terms of Service.

If unauthorized use of your API keys occurs, you must notify us immediately at support@mcpboard.dev and take steps to secure your account. You remain responsible for all activities until we receive notice of the compromise.

Rate Limiting and Fair Use

While we do not currently impose strict rate limits on API usage, all API calls are subject to fair use policies and potential rate limiting. We reserve the right to implement rate limiting, throttling, or usage restrictions at any time to ensure service reliability for all users.

You must use the API reasonably and not in ways that could degrade service performance for other users. Excessive or abusive API usage may result in temporary or permanent restrictions on your API access.

Prohibited API Uses

You may not use The Board's API for stress testing, load testing, or any activity designed to overwhelm or disrupt our services. Using the API for competitive analysis, reverse engineering, or to build competing products is strictly prohibited.

You may not use the API to violate any laws, infringe on others' rights, or engage in activities that could harm The Board or other users. This includes but is not limited to spamming, data scraping for unauthorized purposes, or attempting to circumvent security measures.

API Access Revocation

We reserve the right to revoke, suspend, or restrict API access at any time for abuse, violations of these terms, or behavior that threatens service integrity. This may include revoking specific API keys or restricting API access for your entire account.

If your API access is restricted, you may appeal by contacting us at support@mcpboard.dev with details about your use case. We will review appeals, but our decision regarding API access remains final.

Content Ownership

You retain ownership of all plans and content you create within The Board. This includes the descriptions, requirements, steps, and any other information you provide when creating or modifying plans. Your intellectual property rights in your content remain with you.

License Grant to The Board

By creating plans on The Board, you grant us a worldwide, non-exclusive, royalty-free license to process, store, and display your plans solely for the purpose of providing the service to you. This license allows us to operate the service, including presenting your plans back to you and your AI agents, processing plan steps, and providing execution guidance.

This license is limited to the functionality of The Board and does not give us rights to use your content for other purposes, share it with third parties, or commercialize it beyond providing the service you've requested.

Sensitive Information Warning

Important: You should not include passwords, API keys, credentials, personal identification numbers, or other highly sensitive data in your plans. While we implement security measures to protect your data, plans may be processed by various system components to provide step-by-step guidance.

If you accidentally include sensitive information in a plan, delete the plan immediately and contact us at support@mcpboard.dev if you need assistance. Remember that plan data is automatically deleted based on your subscription level (Free: 24 hours, Pro: 30 days).

Data Processing

You acknowledge that your plans may be processed by The Board's systems to provide step-by-step guidance, breakdown complex tasks, track execution progress, and deliver the core functionality of the service. This processing is essential for the service to function as intended.

All processing is done to enhance your experience with The Board and help your AI agents execute plans effectively. We do not use your plan content for training our systems or for any purposes beyond providing the service to you.

Content Responsibility

You are solely responsible for your plans and ensuring they don't violate laws, infringe on third-party rights, or include prohibited content. This includes ensuring that any instructions or tasks in your plans comply with applicable laws and respect others' intellectual property rights.

You must not create plans that instruct AI agents to engage in illegal activities, violate terms of service of other platforms, or cause harm to others. We reserve the right to remove content that violates these terms or applicable laws.

Prohibited Activities

You may not use The Board for any illegal purpose or in violation of any local, state, national, or international law. This includes but is not limited to activities that violate intellectual property rights, privacy laws, or regulations governing your industry or jurisdiction.

Security and System Integrity

You must not upload malicious code, attempt to compromise the security of The Board, or engage in any activity that could disrupt or damage our systems or infrastructure. This includes attempting to gain unauthorized access to our systems, interfering with other users' access, or introducing viruses or other harmful code.

You may not reverse-engineer, decompile, or attempt to extract the source code of The Board or any of its components. Attempting to circumvent security measures, rate limits, or usage restrictions is strictly prohibited.

Harmful Content and Plans

You may not create plans that could cause harm to systems, networks, or individuals. This includes plans that instruct AI agents to engage in destructive activities, compromise security, or violate the rights of others. Plans should not include instructions for illegal activities or actions that could cause physical or digital harm.

You must not use The Board to harass, threaten, or abuse other users or any third parties. This includes creating plans that target individuals or organizations for harmful purposes.

Third-Party Service Compliance

You may not use The Board to violate the terms of service of other platforms or services. When creating plans that involve interaction with third-party services, you must ensure compliance with their terms and conditions. You are responsible for understanding and adhering to all applicable third-party terms.

Commercial Use Restrictions

You may not resell, sublicense, or redistribute access to The Board without our explicit written permission. The service is provided for your use only, and commercial exploitation beyond your legitimate business needs requires separate authorization.

You may not use The Board to provide services to third parties that compete with or replicate our service offerings. This includes using our service as a backend for your own plan management platform or similar competing service.

Consequences of Violations

Violations of this Acceptable Use Policy may result in immediate suspension or termination of your account, removal of offending content, and legal action where appropriate. We reserve the right to take any action necessary to protect our service and other users.

Service Role and Limitations

The Board provides guidance, structure, and step-by-step instructions for plan execution, but does not control AI agents or their actions. We are a coordination and management service that helps organize and track plan execution, but we do not operate, control, or manage the AI agents themselves.

AI agents are external systems that interact with The Board through our API. These agents are controlled by you or third-party AI providers and operate independently of our direct control. We provide the framework and guidance, but the actual execution is performed by agents outside our system.

User Responsibility for AI Agent Actions

You are fully responsible for all actions taken by AI agents using your API keys and accessing your plans. This includes ensuring that AI agents comply with all applicable laws, regulations, and third-party terms of service. You must properly configure and monitor AI agents to ensure they operate within acceptable parameters.

You are responsible for selecting appropriate AI agents for your use case and ensuring they are capable of safely executing the plans you create. This includes understanding the capabilities and limitations of the AI agents you choose to integrate with The Board.

No Guarantee of AI Agent Compliance

While The Board provides detailed step-by-step instructions and guidance, we make no guarantee that AI agents will follow these instructions correctly, completely, or safely. AI agents may interpret instructions differently than intended, make errors in execution, or behave unpredictably.

We do not warrant that AI agents will successfully complete plans, follow instructions precisely, or achieve desired outcomes. The behavior of AI agents depends on their design, training, and capabilities, which are outside our control.

Limitation of Liability for Automated Execution

We are not liable for any damages, losses, or consequences resulting from the actions of AI agents executing plans through The Board. This includes but is not limited to data loss, system damage, financial losses, or any other harm caused by AI agent actions.

You understand and accept that automated plan execution by AI agents carries inherent risks, and you use this functionality at your own risk. We strongly recommend implementing appropriate safeguards, monitoring, and testing when using AI agents with The Board.

AI Provider Terms Compliance

When using AI agents from providers such as OpenAI, Anthropic, or other AI service providers, you must comply with their respective terms of service and usage policies. The Board does not modify or supersede these terms, and violations of AI provider terms may result in service restrictions.

You are responsible for understanding and adhering to the terms and conditions of any AI services you integrate with The Board. This includes usage limits, content policies, and any restrictions on automated interactions.

Subscription Model

The Board offers two subscription tiers: a Free plan and a Pro plan. The Free plan requires no payment, credit card information, or subscription commitment. The Pro plan is a paid subscription service that provides enhanced features and extended data retention.

Pro plan pricing is $19 per month when billed monthly, or $15 per month when billed yearly ($180 per year). All prices are in USD and subject to applicable taxes based on your location.

Billing Cycle and Auto-Renewal

Pro plan subscriptions automatically renew at the end of each billing cycle unless cancelled. Monthly subscriptions renew every month, and yearly subscriptions renew annually. You will be charged automatically using your chosen payment method.

You can cancel your subscription at any time through your account settings. Cancellation will take effect at the end of your current billing cycle, and you will retain access to Pro features until that time. No partial refunds are provided for unused portions of your subscription period.

Refund Policy

All subscription payments are final and non-refundable. We do not provide refunds for any reason, including early cancellation, non-use of the service, or dissatisfaction with the service. This policy applies to both monthly and yearly subscriptions.

If you are considering upgrading to the Pro plan, we encourage you to thoroughly test the Free plan first to ensure The Board meets your needs before committing to a paid subscription.

Price Changes

We reserve the right to modify our pricing at any time. If we increase the price of your subscription, we will provide at least 30 days advance notice before the change takes effect. Price changes will apply at your next billing cycle after the notice period.

You may cancel your subscription before the price change takes effect if you do not wish to continue at the new price. Continuing to use the service after the price change constitutes acceptance of the new pricing.

Payment Failure and Consequences

If payment for your subscription fails, we will automatically retry the payment up to 4 times over the course of 1 week. If all retry attempts fail, your subscription will be automatically cancelled and your account will be downgraded to the Free plan.

When your account is downgraded due to payment failure, your data retention period will immediately change to the Free plan's 24-hour retention policy. We recommend ensuring your payment information is current and that your payment method has sufficient funds available.

Payment Processing

All payments are processed through Stripe, our third-party payment processor. By providing payment information, you agree to Stripe's terms of service and privacy policy. We do not store your payment information on our servers.

For questions about payment processing, billing disputes, or payment security, please refer to Stripe's documentation or contact their support team. We will assist with account-related billing questions through support@mcpboard.dev.

Authentication Services

The Board uses Clerk for user authentication and account management. By creating an account with The Board, you agree to Clerk's terms of service and privacy policy. Clerk handles user registration, login, password management, and account security features.

We rely on Clerk to provide secure authentication services, but we do not control Clerk's systems or policies. For issues related to account access, password recovery, or authentication security, please refer to Clerk's documentation or contact their support team.

Payment Processing Services

The Board uses Stripe for payment processing and subscription management. By providing payment information for a Pro subscription, you agree to Stripe's terms of service and privacy policy. Stripe handles all payment processing, billing, and subscription management functions.

We do not store your payment information on our servers. All payment data is securely handled by Stripe in compliance with industry standards. For payment-related questions or disputes, please refer to Stripe's support resources.

Third-Party Terms Compliance

You must comply with the terms of service and privacy policies of all third-party services used by The Board, including but not limited to Clerk and Stripe. These third-party terms are in addition to, not in place of, our Terms of Service.

If you violate the terms of any third-party service, it may affect your ability to use The Board. We may suspend or terminate your account if third-party service violations impact our ability to provide services to you.

Disclaimer of Third-Party Liability

We are not responsible for the actions, policies, or service availability of third-party providers. We do not control these services and cannot guarantee their performance, security, or continued availability. Third-party service outages or issues may temporarily affect your access to The Board.

We disclaim all liability for damages, losses, or issues caused by third-party services, including but not limited to authentication failures, payment processing errors, or data breaches at third-party providers. Your use of third-party services is at your own risk.

Changes to Third-Party Services

We may change or discontinue the use of third-party services at any time as needed for business operations. We will make reasonable efforts to provide notice of significant changes that may affect your use of The Board, but we are not obligated to do so.

Privacy Policy

Our collection, use, and protection of your personal information is governed by our Privacy Policy, which is available at https://mcpboard.dev/policy. By using The Board, you agree to the terms of our Privacy Policy in addition to these Terms of Service.

The Privacy Policy provides detailed information about what data we collect, how we use it, and your rights regarding your personal information. Please review it carefully to understand our privacy practices.

Data Storage and Processing

Your data is stored and processed using third-party cloud services. Our database is hosted on Surreal Cloud, our backend services are hosted on Deno Deploy, and our web application is hosted on Cloudflare Pages. These services may store and process your data in various geographic locations.

By using The Board, you consent to the storage and processing of your data in these locations and through these service providers, which may include locations outside your country of residence.

Data Encryption Disclaimer

Important Security Notice: Currently, user-submitted data including plans, plan steps, and progress reports are not encrypted in our database. While we implement standard security measures and use reputable hosting providers, your plan data is stored in plain text format.

This means that anyone with access to our database systems could potentially read your plan content. We strongly recommend not including sensitive information such as passwords, API keys, personal identification numbers, or confidential business information in your plans.

Security Limitations

You acknowledge and understand that no system is completely secure, and we cannot guarantee the absolute security of your data. While we implement reasonable security measures, you use The Board at your own risk regarding data security.

We recommend treating all information you submit to The Board as potentially accessible to others. This includes plan descriptions, steps, requirements, and any other content you create within the service.

Data Breach Notification

In the event of a data breach that may affect your personal information, we will notify affected users as required by applicable law. We will provide information about the breach, what data may have been affected, and steps we are taking to address the situation.

Data Protection Compliance

We strive to comply with applicable data protection laws, including GDPR and CCPA where applicable. However, given our current lack of data encryption and the nature of our service, we recommend that users in jurisdictions with strict data protection requirements carefully consider whether The Board is appropriate for their use case.

If you are subject to strict data protection requirements, please consult with your legal team before using The Board to ensure compliance with your obligations.

The Board's Intellectual Property

The Board and all its components, including but not limited to the software, source code, website, user interface, design, graphics, logos, trademarks, and all other intellectual property, are owned by us and are protected by copyright, trademark, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable license to use The Board solely for your personal or business purposes in accordance with these Terms of Service. This license does not grant you any rights to modify, distribute, or create derivative works based on The Board.

User Content Ownership

You retain ownership of all content you create within The Board, including plans, descriptions, requirements, and any other materials you submit. However, as described in the "Plans and User-Generated Content" section, you grant us a limited license to process and display your content for the purpose of providing our services.

You are responsible for ensuring that any content you submit does not infringe on the intellectual property rights of third parties. You warrant that you have all necessary rights to submit your content and grant us the license described in these terms.

DMCA Compliance

We respect intellectual property rights and comply with the Digital Millennium Copyright Act (DMCA). If you believe that content on The Board infringes your copyright, please send a DMCA takedown notice to support@mcpboard.dev with the following information:

  • Your contact information and signature
  • Identification of the copyrighted work claimed to be infringed
  • Identification of the infringing material and its location on our service
  • A statement that you have a good faith belief that the use is not authorized
  • A statement that the information in the notice is accurate and that you are authorized to act on behalf of the copyright owner

We will respond to valid DMCA notices by removing or disabling access to the allegedly infringing content. We may also terminate accounts of repeat infringers.

Trademark Usage

"The Board" and our logos are trademarks owned by us. You may not use our trademarks without our prior written consent. This includes using our name or logos in a way that could cause confusion about the source of products or services.

If you wish to use our trademarks for any purpose, including press mentions, partnerships, or other business purposes, please contact us at support@mcpboard.dev for permission.

Infringement Claims

If you believe that your intellectual property rights have been violated on The Board, please contact us immediately at support@mcpboard.dev. We take intellectual property concerns seriously and will investigate all valid claims.

Service Availability

While we strive to provide reliable service, we do not guarantee uninterrupted access to The Board. The service may be temporarily unavailable due to maintenance, updates, technical issues, or circumstances beyond our control. We are not liable for any damages or losses resulting from service interruptions.

We may perform maintenance on our systems from time to time, which may temporarily affect service availability. We will make reasonable efforts to minimize disruption and provide advance notice when possible, but we are not obligated to do so.

Data Backup Responsibilities

You are solely responsible for backing up your plan data and any other important information stored in The Board. We do not provide data backup services or guarantee data recovery in case of data loss. Given our automatic data deletion policies (Free: 24 hours, Pro: 30 days), it is particularly important that you maintain your own backups.

We recommend regularly exporting or copying important plan information to your own systems, especially before data retention periods expire. We are not responsible for data loss due to system failures, user error, or automatic deletion policies.

Export Functionality

While we plan to implement data export functionality in the future, this feature is not currently available. You should not rely on future export capabilities and should manually copy or document any important information while using the service.

When export functionality becomes available, it may have limitations on format, content, or frequency of exports. We reserve the right to implement reasonable restrictions on data export to ensure service performance and security.

Usage Limits

While we do not currently impose limits on the number of active plans or steps per plan, we reserve the right to implement reasonable usage limits in the future. These may include limits on the number of simultaneously active plans, maximum steps per plan, or other usage restrictions.

If usage limits are implemented, we will provide reasonable advance notice and may offer options for users who need higher limits. Current users will be grandfathered into existing functionality where possible, but new limits may apply to new content or features.

Feature Availability

Not all features may be available to all users at all times. Feature availability may depend on your subscription level, account status, or other factors. We may also test new features with limited groups of users before general release.

We reserve the right to modify, restrict, or discontinue any feature or functionality at any time. While we will make reasonable efforts to maintain core service functionality, we cannot guarantee that any specific feature will remain available indefinitely.

Performance Limitations

Service performance may vary based on usage patterns, system load, and other factors. We do not guarantee specific response times, processing speeds, or performance levels. Performance may be affected by factors outside our control, including internet connectivity and third-party service availability.

Your Indemnification Obligations

You agree to indemnify, defend, and hold harmless The Board, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorney's fees) arising from or related to your use of The Board.

Scope of Indemnification

Your indemnification obligations include, but are not limited to, claims arising from:

  • Your use of The Board and any services provided through the platform
  • Your plans, content, or any other materials you submit to or create within The Board
  • Actions taken by AI agents using your API keys, regardless of whether such actions were authorized by you
  • Your violation of these Terms of Service or any applicable laws or regulations
  • Your infringement of any third-party rights, including intellectual property rights
  • Any harm or damage caused to third parties as a result of your use of The Board

AI Agent Actions

Given the unpredictable nature of AI agents and their potential for autonomous action, you specifically agree to indemnify us against any claims, damages, or liabilities resulting from AI agent actions performed using your API keys or based on your plans. This includes but is not limited to:

  • Damage to third-party systems or data
  • Violations of third-party terms of service
  • Privacy or security breaches caused by AI agent actions
  • Financial losses or business interruptions caused by AI agent behavior
  • Legal violations or regulatory non-compliance by AI agents

Defense and Settlement

We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you, in which case you will cooperate with us in asserting any available defenses. You may not settle any claim that affects us without our prior written consent.

This indemnification obligation will survive termination of your account and these Terms of Service. The indemnification provisions set forth in this section are in addition to, and not in lieu of, any other remedies that may be available to us under applicable law or equity.

Limitation of Indemnification

Your indemnification obligations under this section do not apply to claims that arise solely from our gross negligence or willful misconduct. However, if a claim arises from both your actions and our negligence, your indemnification obligations will apply to the extent the claim is attributable to your conduct.

Service Disclaimers

THE BOARD IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. WE MAKE NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that The Board will be uninterrupted, timely, secure, or error-free. We make no warranty regarding the quality, accuracy, timeliness, truthfulness, completeness, or reliability of The Board or any content obtained through the service.

Plan Execution Disclaimers

We make no guarantee that plans created or managed through The Board will be executed successfully, completely, or as intended. Plan execution depends on numerous factors outside our control, including but not limited to AI agent capabilities, third-party service availability, and external system requirements.

You acknowledge that plan outcomes may vary significantly from expectations and that The Board serves only as a coordination and management tool, not as a guarantee of successful task completion or desired results.

AI Agent Behavior Disclaimers

We are not responsible for the behaviors, actions, or outcomes of AI agents that interact with The Board. AI agents operate independently and may behave unpredictably, make errors, or produce unintended results. We do not control, monitor, or supervise AI agent actions beyond providing the framework for plan management.

You use AI agent integration features at your own risk and acknowledge that AI agent behaviors are inherently unpredictable and may not align with your expectations or instructions provided through The Board.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE BOARD, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

Our total liability to you for all claims arising out of or relating to your use of The Board shall not exceed the amount of subscription fees you have paid to us in the twelve (12) months immediately preceding the claim. For users on the Free plan, our total liability shall not exceed fifty dollars ($50).

Exclusions and Limitations

The limitations and exclusions in this section apply regardless of the theory of liability, whether based on warranty, contract, tort, negligence, strict liability, or otherwise, and even if we have been advised of the possibility of such damages.

Some jurisdictions do not allow the exclusion or limitation of certain warranties or damages, so some of the above limitations may not apply to you. In such cases, our liability will be limited to the fullest extent permitted by applicable law.

Third-Party Actions

We disclaim all liability for damages or losses caused by third parties, including but not limited to AI service providers, hosting services, payment processors, or any other third-party services or systems that interact with or are used in connection with The Board.

User-Initiated Termination

You may cancel your subscription at any time through the Stripe customer portal, which is accessible from your account settings within The Board. Subscription cancellation will take effect at the end of your current billing cycle, and you will retain access to Pro features until that time.

You may delete your account at any time from your profile page within The Board. When you delete your account, all of your data will be automatically deleted within 7 days, and any active subscriptions will be cancelled automatically through Stripe. No refunds will be provided for cancelled subscriptions.

Termination by The Board

We may terminate or suspend your account and access to The Board immediately, without prior notice or liability, for any reason, including but not limited to violations of these Terms of Service, illegal activities, abuse of the service, or behavior that threatens the integrity of our platform or the safety of other users.

We may also terminate your account with reasonable advance notice for business reasons, such as discontinuation of the service, significant changes to our business model, or other operational considerations.

Effect of Termination

Upon termination of your account, whether initiated by you or by us:

  • Your access to The Board will be immediately suspended
  • All API keys associated with your account will be revoked
  • Your plan data will be subject to our standard deletion policies (Free: 24 hours, Pro: 30 days, or immediate deletion upon account deletion)
  • Any active subscriptions will be cancelled (subject to our refund policy)
  • You will no longer be able to access any content, plans, or data associated with your account

Data Deletion Timeline

Following account deletion, all user data including plans, progress reports, and personal information will be permanently deleted within 7 days. This deletion is irreversible, and we will not be able to recover your data once the deletion process is complete.

We may retain certain information for legal, regulatory, or business purposes as described in our data retention policies, but this retained information will not include your plan content or personal data beyond what is required by law.

Survival of Terms

The following sections of these Terms of Service will survive termination of your account: Indemnification, Disclaimers and Limitation of Liability, Intellectual Property, Governing Law and Dispute Resolution, and any other provisions that by their nature should survive termination.

Your payment obligations for services used prior to termination will remain in effect, and termination does not relieve you of any liability that may have accrued before the effective date of termination.

Governing Law

These Terms of Service and your use of The Board shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles. Any legal action or proceeding arising under these terms shall be brought exclusively in the federal or state courts located in Delaware.

You consent to the personal jurisdiction of such courts and waive any objection to the laying of venue in such courts. If you are located outside the United States, you acknowledge that any information you provide will be transferred to and processed in the United States.

Dispute Resolution Process

Before initiating any formal legal proceeding, you agree to first attempt to resolve any dispute, claim, or controversy arising out of or relating to these Terms of Service or The Board through good faith negotiations. You must send written notice of the dispute to support@mcpboard.dev and allow 30 days for us to respond and attempt to resolve the matter.

Binding Arbitration

If we cannot resolve a dispute through negotiation, any remaining dispute, controversy, or claim arising out of or relating to these Terms of Service or The Board shall be settled by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules.

The arbitration will be conducted before a single arbitrator in Delaware, unless both parties agree otherwise. The arbitrator's decision will be final and binding, and judgment may be entered on the arbitrator's award in any court of competent jurisdiction. Each party will bear its own costs and attorneys' fees, unless the arbitrator determines otherwise.

Class Action Waiver

YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDING WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. You waive any right to participate in a class action lawsuit or class-wide arbitration against The Board.

If any court or arbitrator determines that the class action waiver set forth in this paragraph is void or unenforceable for any reason, then the arbitration clause above will be deemed null and void, and the parties will be deemed to have not agreed to arbitrate disputes.

Exceptions to Arbitration

The following disputes are not subject to the arbitration requirement: (1) disputes seeking injunctive or other equitable relief for the alleged unlawful use of intellectual property, (2) disputes related to or arising from allegations of theft, piracy, or unauthorized use of The Board, and (3) small claims court actions.

Limitation on Time to File Claims

Any claim or cause of action arising out of or related to your use of The Board or these Terms of Service must be filed within one (1) year after such claim or cause of action arose, or it will be forever barred, notwithstanding any statute of limitations or other law to the contrary.

Entire Agreement

These Terms of Service, together with our Privacy Policy and any other legal notices published by us on The Board, constitute the entire agreement between you and us concerning The Board and supersede all prior or contemporaneous agreements, whether written or oral, relating to the subject matter herein.

No modification of these terms will be effective unless it is in writing and signed by both parties, or in the case of modifications initiated by us, posted on our website in accordance with the notice provisions in these terms.

Severability

If any provision of these Terms of Service is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision will be deemed severed from these terms, and the remaining provisions will remain in full force and effect. The invalid provision will be replaced with a valid provision that most closely approximates the intent and economic effect of the invalid provision.

No Waiver

Our failure to exercise or enforce any right or provision of these Terms of Service will not constitute a waiver of such right or provision. Any waiver of any provision of these terms will be effective only if in writing and signed by us. No waiver of any breach of these terms will be deemed a waiver of any subsequent breach.

Assignment

You may not assign, transfer, or sublicense these Terms of Service or your rights and obligations hereunder without our prior written consent. We may assign these terms and our rights and obligations without your consent in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of our assets.

Any attempted assignment in violation of this provision will be null and void. Subject to the foregoing restrictions, these terms will be binding upon and inure to the benefit of the parties and their respective successors and assigns.

Force Majeure

We will not be liable for any failure or delay in performance under these Terms of Service that is due to causes beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, strikes, labor disputes, government actions, internet or telecommunications failures, or failures of third-party service providers.

In the event of a force majeure situation, we will make reasonable efforts to notify affected users and resume normal operations as soon as practicable.

Notices and Communications

All notices, requests, demands, and other communications under these Terms of Service must be in writing and will be deemed to have been given: (a) when delivered personally; (b) when sent by confirmed email to the email addresses specified in these terms; or (c) three (3) days after being sent by certified mail, return receipt requested.

Notices to The Board should be sent to support@mcpboard.dev. Notices to you will be sent to the email address associated with your account. You are responsible for keeping your contact information current.

Headings

The headings and section titles in these Terms of Service are for convenience only and have no legal or contractual effect. They do not affect the interpretation or construction of any provision of these terms.

Right to Modify Terms

We reserve the right to modify these Terms of Service at any time and in our sole discretion. When we make changes to these terms, we will update the "Last Updated" date at the top of this document and post the revised terms on our website.

We will make reasonable efforts to notify users of material changes through email notifications sent to the address associated with your account, in-app notifications, or other prominent notices on our service.

Notice Period

For minor changes such as clarifications, formatting updates, or corrections that do not substantially affect your rights or obligations, changes will become effective immediately upon posting. For material changes that substantially affect your rights, we will provide at least 30 days advance notice before the changes take effect.

Acceptance of Changes

Your continued use of The Board after the effective date of any changes to these Terms of Service constitutes your acceptance of the revised terms. If you do not agree to the modified terms, you must discontinue your use of The Board and may delete your account as described in the Termination section.

Major Changes Requiring Explicit Consent

For significant changes that fundamentally alter the nature of our service, add substantial new obligations for users, or significantly limit your rights, we may require your explicit consent before the changes take effect. This may include changes to:

  • Core service functionality or features
  • Data retention or privacy practices
  • Pricing structure or payment terms
  • Dispute resolution procedures
  • Intellectual property rights

If explicit consent is required, you will be prompted to accept the new terms before continuing to use The Board. Failure to provide consent will result in your account being suspended until you either accept the new terms or delete your account.

Version History

We maintain a version history of these Terms of Service to provide transparency about changes over time. Previous versions of these terms are available upon request by contacting us at support@mcpboard.dev.

Each version will include the effective date and a summary of material changes. This version history helps ensure accountability and allows you to understand how our terms have evolved.

Effective Date

These Terms of Service are effective as of the date they are posted on our website. Any changes to these terms will include a new effective date, and the previous version will remain in effect until the new effective date.
